Cappellacci DaRoza LLP has been involved in numerous reorganizations for physicians, dentists and other professionals, which involve the use of corporations in their practices, the establishment of family trusts, and other matters. This involves setting up professional corporations, licensee corporations under the Independent Health Facilities Act and hygiene and various technical service corporations for health care professionals. We have also been extensively involved in the purchase and sale of such corporations. Other corporate health care clients include dialysis facilities, diagnostic imaging facilities, retirement and nursing homes, sleep medicine clinics, licensed laboratories, rehabilitation and other health care clinics and home care providers. Cappellacci DaRoza LLP is counsel to a number of provincial health provider organizations including a number of specialist physician organizations. The firm has also had extensive experience assisting both stakeholder associations and individual clients in their dealings with the Ministry of Health and Long-Term Care and with other stakeholders in the health community.

ERNEST J. CAPPELLACCI, was called to the Bar in 1983. For more than 22 years he has been primarily advising health care providers on corporate and commercial matters, and a variety of more specialized services within the health care field. His clients have included individual doctors and other health care professionals, partnerships, hospital medical staff groups, and corporate health care providers. He has assisted physicians and other health care professionals with setting up and maintaining corporations for use in their practices (professional corporations, licensee corporations etc.), purchasing and selling independent health facilities, professional practices and other health care businesses, partnership, shareholder, cost-share and associate agreements, agreements with hospitals and a variety of other specialized agreements in the health care sector, and advice on hospital-related issues, independent health facility matters, regulatory issues, and matters involving the Ministry of Health and Long-Term Care. He has also represented corporate health care providers on a range of matters and has advised health care industry associations. He acts as legal counsel to specialist physician provincial associations advising on various issues including legislative, regulatory and policy changes affecting them, as well as internal corporate matters. He also has provided corporate and commercial law services to non-health care business corporations.
Mr. Cappellacci is a frequent speaker at conferences and seminars on a wide variety of topics relating to health care and the law.
GINA M. DaROZA received her B.Sc. from the University of Manitoba in 1989 and was awarded the University gold medal for highest standing. She received her law degree with distinction and began her legal practice with a major Toronto law firm upon her call to the bar in 1991, where she practised with a special emphasis on corporate/commercial and health law.
Gina is a partner of Cappellacci DaRoza LLP, a highly specialized boutique law firm focused on the health care sector. Gina continues to focus her practice on health and business law and has extensive experience representing a broad range of health care providers and other business entrepreneurs. For many years she has been assisting dentists, physicians and other health care professionals in setting up their practices, purchasing and selling their practices, the use of corporations in their practice, corporate reorganizations, lease negotiations, partnership, cost-sharing and shareholder arrangements and many other services. She has also acted for many independent health facilities, rehabilitation clinics, home care providers and larger health care companies, advising them on various commercial transactions and contractual arrangements and a wide range of regulatory issues affecting the health care industry.
Gina has written articles and has spoken at numerous conferences on topics relating to health and commercial law including the incorporation of professionals, the use of family trusts, the purchase and sale of a business or practice, partnership, cost-sharing and associate arrangements, employment law issues, privacy law and consent to treatment legislation. She was recently featured on a two hour live televised interview on legal issues affecting physicians and dentists across Canada. Gina has been an active participant in the annual Ontario Dental Association convention since 2000.
